n a career spanning nearly four decades, Vinita Bali has held leadership roles with global brands like Cadbury and Coca-Cola. In her last assignment as the managing director of the Rs 6,829 crore Britannia Industries, she engineered the turnaround of the struggling company into a fast-growing brand: Britannias revenue quadrupled during her nine-year tenure. In an interview with Forbes India, Bali says she would now like to divide her time between the development sector, largely focusing on nutrition, and corporates through her advisory and board roles.

Q. After 37 years in the corporate sector, what are your plans now? To lead a more eclectic life by moving from one full-time operational role to full time, multiple roles. The closest analogy is one of switching to a wide-angle lens from a zoom lens. It was driven by my desire for freedom and flexibility to do different things in the next few decades and make a more varied contribution, rather than be driven by operational responsibility. The 37 years I spent in the corporate world, living in six cities and five continents and travelling to at least another 65 countries (at last count), were fabulous and I now want to harness that experience and seriously spend part of my time in spaces that interest me in the development sector and classical arts. Simultaneously, I will continue my engagement with the corporate sector through boards and advisory roles that also provide a diverse mix across industries and sectors.

Q. What will be your focus in the development sector? My focus is largely on nutrition. I have spent some time in understating the multiple dimensions of the challenge and figuring out how to be part of the solution. Nutrition has to do with access to food and proper drinking water, access to primary health care, hygiene, sanitation, and education. I have said several times that nutrition sits on the cusp of many other sectors, but is not the centre of any. Therefore, it doesnt get the attention it deserves, even though in India it is a silent emergency that requires aligned action from the government, corporate, civil society and development agencies. Our reality, when it comes to nutrition, is one of the poorest in the world with one out of every three children born under-weight largely because of a malnourished mother. I am part of the lead group of the Scaling Up Nutrition (SUN) initiative of the United Nations, on the board of Global Alliance for Improved Nutrition (GAIN), a Geneva-based global NGO, and on the advisory board of Cornell Universitys division of nutrition science. I also set up the Britannia Nutrition Foundation (BNF) in 2009 with the objective of raising awareness and saliency of the problem, sharing success stories from around the world and fostering public-private partnerships to address the malnutrition challenge. This portfolio helps me understand nutrition in its various dimensions. My involvement in these areas is the creative lateral part that I was missing during my full-time corporate roles.

Q. At present, what are your corporate engagements? Im on the global board of Syngenta, a Swiss agrochemical company based in Basel with global operations that focus on seeds and plant health. I have been fascinated by how much science there is to plants and seeds. It connects nicely with my interest in food, nutrition and health. I am also a member of their CSR committee. Im on the board of Crisil Ltd, which I joined recently, and continue to be on the boards of Titan, the Wadia Group companies and Piramal Glass, which is a B2B business. I also joined the advisory board of The World Gold Council earlier this year. Being an experiential learner, it is great to be associated with these different businesses. When you are working for a company, whether you like it or not, you are put into a box. I want to spend my future in many boxes and not in any one box.

Traders are betting Danone (BN) will buy baby-formula maker Mead Johnson Nutrition Co. (MJN) There may be better ways for Europes second-largest food company to spend its money, at least for now.

Shares of $19 billion Mead Johnson reached a record this week on renewed speculation of a takeover by Danone. While Paris-based Danone has been under pressure to jump-start growth after first-half earnings fell 20 percent, shareholders and analysts say theyd rather see it focus on smaller acquisitions in emerging markets and rebuilding its position in China after last years recall of infant milk powder and bribery claims hurt sales there.

Revenue at Danone is projected to be flat this year after climbing about 7 percent on average since 2009, data compiled by Bloomberg show. And analysts see little upside for the stock, signaling the $48 billion company needs to find ways to create value or it risks becoming a target. Taking over Asian regional dairy companies such as $9.4 billion Yakult Honsha Co. (2267) is an option, said Equita SIM SpA, while Trimax Capital AG said Danone should raise its stake in China Mengniu Dairy Co. (2319) Danone is said to be in talks to sell its medical-nutrition unit, which would give it more cash for such deals.

Danone lost 0.5 percent to 55.44 euros at 3:39 p.m. in Paris trading, while Mead Johnson slid 1.4 percent in New York. Yakult shares rose 1.7 percent in Tokyo, and China Mengniu increased 0.5 percent in Hong Kong.

Investors would rather see them succeed in their cost-cutting, regaining shelf space in China and maybe even divesting the medical-nutrition business, Eric Sagmeister, a money manager at Forward Investing, which owns Danone shares among the $5 billion it oversees, said in a phone interview. I dont think we would enjoy a major acquisition without any of that happening first. Going out and buying scale by buying Mead Johnson doesnt solve the problem.

Its conceivable that if Danone doesnt buy, it could get bought. The company is in a weaker position now to defend itself from a takeover, should a larger company such as Nestle SA (NESN) or PepsiCo Inc. be interested, according to Pierre Tegner, an analyst at Natixis in Paris. Nestles market value of $245 billion yesterday was more than five times that of Danone, while PepsiCo was valued at $136 billion.

Representatives for Danone didnt respond to phone calls or e-mails seeking comment.

Dairy products such as Activia and Oikos yogurt generate more than half of Danones revenue, with another 18 percent coming from bottled water brands such as Evian and 20 percent from baby food, according to data compiled by Bloomberg. Its smallest business is medical nutrition, which makes the Nutrison tube-feeding system for people whose diets are restricted by illness.

Danone is negotiating a sale of that unit to Hospira Inc., a person familiar with the matter said this week, asking not to be identified because the discussions are private. The business could fetch about 3 billion euros ($4 billion), people familiar with the matter said in May. Selling it may almost double the companys $4.2 billion of cash and equivalents.

Danone needs to think about expansion, and using proceeds from a medical-nutrition sale would be very helpful, Trung-Tin Nguyen, a hedge-fund manager at Trimax Capital in Zurich, said in a phone interview. Options can include M&A.

Nutrition Society paper on processed food draws colleagues' ire

The American Society for Nutrition published a paper last week stating that processed foods make up a vital part of the American diet, drawing the ire of some prominent nutritionists, who criticized the paper and accused its authors of conflicts of interest.

The paper, published in the American Journal of Clinical Nutrition, said that beyond being vital to the American diet, processed foods contribute to the health of the U.S. population, and it gave recommendations for making processed foods more nutritious and for improving the publics perception of them.

But some nutritionists have shot back, saying the paper relies on an overly broad definition of processed foods. It included in its analysis foods that aren't generally thought of as processed, like packaged fruits and vegetables and roasted nuts. By including them, the critics say, the paper distorts the fact that more heavily processed foods, like childrens breakfast cereal, are far less nutritious.

"They pile all the different types of processing into one big grab bag," said Dr. Robert Lustig, a professor and obesity expert at the University of California, San Francisco. "Anything from washing lettuce leaves to creating new food out of lab ingredients that sit on a shelf."

Dr. Connie Weaver of Purdue University, the papers lead author, said its purpose was not to distort, but rather to spark an overdue conversation among nutritionists about what does and doesnt constitute processed food, since existing definitions are vague.

"Were calling for all the stakeholders to get together and help create a consensus," she said.

Weaver said settling on definitions will aid efforts to make processed foods more nutritious. Thats important, she said, because processed foods have become mainstays in the American diet, and arent going away.

But some experts believe focusing on delivering better nutrition through processed foods is a mistake. While processed foods are a significant part of Americans diet, "to say that getting nutrients from processed foods is a good thing and should continue ignores the fact that we could be getting those same nutrients from less processed foods and deriving far better nutrition overall," saidDr. David Katz, a nutrition expert and director of the Prevention Research Center at Yale University.

Some critics suspect another force is at play in the papers effort to improve the image of processed food. Weaver and several of her co-authors are either advisers to, have received funding from or own stock in major food industry players, including Nestle, Con Agra, and Hershey.

Katz said those conflicts of interest cast doubt on the papers assertions.
